Dispute Resolution

Informal Resolution

Before initiating formal dispute resolution, you agree to first contact us at legal@regrowthbio.com to attempt to resolve any dispute, claim, or controversy informally. We will attempt to resolve the dispute through good faith negotiations.

Arbitration

If informal resolution is unsuccessful within 60 days, any dispute arising out of or relating to these Terms or the Website shall be finally settled by arbitration administered by the Hong Kong International Arbitration Centre under its Arbitration Rules then in effect.

The arbitration shall be conducted in English in Hong Kong. The arbitral tribunal shall consist of one arbitrator appointed in accordance with the applicable rules. The arbitral award shall be final and binding upon the parties.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights.

Class Action Waiver

YOU AGREE THAT ANY ARBITRATION OR PROCEEDING SHALL BE LIMITED TO THE DISPUTE BETWEEN YOU AND REGROWTH INDIVIDUALLY. TO THE FULLEST EXTENT PERMITTED BY LAW:

• Neither you nor ReGrowth will seek to have any dispute heard as a class action, private attorney general action, or in any other proceeding in which either party acts or proposes to act in a representative capacity
• No arbitration or proceeding will be combined with another without the prior written consent of all parties to all affected arbitrations or proceedings

General Provisions

Entire Agreement

Waiver

Assignment

You may not assign or transfer these Terms or your rights and obligations hereunder without our prior written consent. ReGrowth may assign or transfer these Terms or its rights and obligations without restriction.

Force Majeure

ReGrowth shall not be liable for any failure to perform its obligations under these Terms where such failure results from any cause beyond ReGrowth's reasonable control, including but not limited to mechanical, electronic, or communications failure or degradation, acts of God, war, terrorism, civil unrest, government action, or pandemic.

No Third-Party Beneficiaries

These Terms do not and are not intended to confer any rights or remedies upon any person other than you and ReGrowth.

Headings

The headings in these Terms are for convenience only and have no legal or contractual effect.

Language

These Terms are drafted in English. In the event of any conflict between an English version and a translation, the English version shall prevail to the extent permitted by applicable law.
